NON-DISCLOSURE AGREEMENT

This Non-Disclosure Agreement is entered into between UXV CENTER GmbH, with its principal place of business at Ottigenbühlring 5, CH-6030 Ebikon (“The Owner”), and [The Recipient Name] , with its principal place of business at [Address] (“The Recipient”).

Purpose of Disclosure

The Owner acknowledges the Recipient may receive information regarding the Owner’s that may be considered confidential such as business, practices, or other properties. Therefore, the Parties are in agreement to the following terms and conditions of this agreement.

Confidentiality

For purposes of this Agreement, “Confidential Information” means any and all proprietary information, technical data, trade secrets or know-how, including, but not limited to, research, product plans, products, services, customer lists and customers (including, but not limited to, customers of Disclosing Party on whom Receiving Party called in connection with this Agreement), markets, software, developments, inventions, processes, formulas, technology, designs, drawings, engineering, hardware configuration information, marketing, finances or other business information disclosed by Disclosing Party, either directly or indirectly, in writing, orally or by drawings or inspection of parts or equipment.

Confidentiality Obligations

The Recipient agrees that it will not use any of the Confidential Information for any purpose, nor will it disclose or make available any of the Confidential Information to any third party without the prior written consent of the Owner. The Recipient will protect the confidentiality of the Confidential Information with the same degree of care that it uses to protect its own confidential information, but in no event with less than a reasonable degree of care. The Recipient shall under no circumstances modify or copy confidential
information that is made available to them.

Unauthorized disclosure

In the event of any unauthorized disclosure or use of the Confidential Information by the Recipient, the Owner shall be entitled to seek remedies
including, but not limited to legal assistance and termination of this agreement.

Return of Confidential Information

Upon the written request of the Owner or upon termination of this Agreement, The Recipient will promptly return to the Owner all tangible materials containing Confidential Information and all copies thereof, and will destroy any electronic or digital copies of the Confidential Information.

Relationships

Nothing contained in this Agreement shall be deemed to make either party a partner, joint venture or employee of the other party for any purpose.

Entirety

This non-disclosure agreement shall serve as the entire agreement between the Parties and shall prevail over any prior agreements conducted in written or oral form by the Parties.

Term

The obligations of this non-disclosure agreement shall survive indefinitely including through termination or conclusion of this agreement.

Assigment

The Parties agree to abstain from the sale, transferring, or delegating of any provisions of this agreement to third party individuals without the prior written consent of the responding party. Any third-party individuals entered into this agreement shall be bound by all the terms and conditions contained within this agreement as so.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Switzerland without giving effect to any choice of law or conflict of
law provisions.

By attaching their electronic signatures, the Owner and The Recipient acknowledge and agree to any and all provisions included in this non-disclosure agreement.
